License Agreement

011. Grant of License

Upon engagement of a specialist through CIPHER, the specialist grants you (the Client) a non-exclusive license to use the deliverables produced during the engagement according to the terms of the engagement type selected at purchase.

This license is non-transferable unless otherwise agreed. The specialist retains intellectual property rights to any pre-existing tools, frameworks, or methodologies used in the engagement.

022. Standard Engagement

The Standard Engagement permits:

• +Use of deliverables for internal business purposes
• +Strategy reports and consulting documentation
• +Single-project implementation and deployment
• +Training sessions and workshops for your team
• +Commercial deployment of solutions developed
• +Modification and adaptation of deliverables

Standard engagements are valid for a single project scope. Organizations requiring multi-project coverage should upgrade to Extended.

033. Extended Engagement

The Extended Engagement includes all Standard Engagement rights plus:

• +Multi-project implementation across your organization
• +Resale of deliverables as part of your services
• +White-label use of solutions developed
• +Multi-seat access for teams up to 10 members
• +Priority support and ongoing advisory

044. Restrictions

Regardless of engagement type, you may NOT:

• +Redistribute raw deliverables as standalone products without an Extended license
• +Misrepresent the origin or authorship of deliverables
• +Use deliverables for illegal or unethical purposes
• +Share confidential specialist methodologies with competitors
• +Reverse-engineer proprietary tools or frameworks
• +Sub-license deliverables without an Extended license

055. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the engagement. This includes:

• +Client Data: All business data shared with the specialist is confidential
• +Deliverables: Custom solutions are confidential to the client
• +Methodologies: Specialist proprietary methods remain confidential

066. Attribution

Attribution is not required for deliverables used in your business operations. If you choose to provide credit, please use: "Developed with CIPHER AI Consulting".

077. Quality Guarantee

All specialists on CIPHER are verified experts in their respective fields. Each engagement includes quality assurance and review processes. If deliverables do not meet the agreed-upon specifications, contact us for revision or a full refund.

088. Warranty and Indemnification

CIPHER and the specialist warrant that:

• +The specialist has the expertise and rights to deliver the agreed services
• +Deliverables do not infringe any third-party intellectual property rights (to our knowledge)
• +Work is performed with reasonable care and skill

CIPHER's liability is limited to the total credits paid for the engagement. We recommend consulting legal counsel for high-risk implementations.

099. Termination

This license is perpetual unless terminated for breach. If you violate these terms, your license automatically terminates and you must cease all use of the deliverables. CIPHER may pursue legal remedies for unauthorized use.
